B2B Terms of Use

These Terms of Use (“Terms”) govern access to and use of the business-to-business website and experience at b2b.tipatech.me and related paths under /business (the “B2B Site”) operated by Keler Group LLC, doing business as TipaTech (“TipaTech,” “we,” “us,” or “our”). Our B2B Privacy Policy describes how we process personal and business information in connection with the B2B Site. By using the B2B Site, you agree to these Terms and acknowledge the Privacy Policy.

1. Agreement to terms

By accessing or using the B2B Site, you agree to these Terms on behalf of yourself and, where applicable, the business you represent. If you do not agree, you must not use the B2B Site.

These Terms are separate from terms and policies that apply to our consumer-facing websites (such as experiences served from b2c.tipatech.me or tipatech.com). Additional or different terms may apply to specific written agreements between your organization and TipaTech (for example distribution agreements, statements of work, or executed order documents). In the event of a conflict between these Terms and a signed agreement that expressly governs the same subject matter, the signed agreement controls to the extent of the conflict.

2. Eligibility

The B2B Site is offered to authorized representatives of commercial entities - including distributors, plumbers and contractors, retailers, property managers, and similar trade professionals - who are evaluating or purchasing TipaTech products for business purposes.

  • You represent that you are at least 18 years of age.
  • You represent that you have authority to bind the organization on whose behalf you use the B2B Site, or that you have obtained appropriate internal authorization.
  • TipaTech may request reasonable business verification and may decline access, quotes, or transactions where verification is incomplete or where use appears inconsistent with these Terms or applicable law.

3. Description of the B2B Site

The B2B Site provides commercial tools and information, which may include, as applicable:

  • Wholesale-oriented product and program information for TipaTech water treatment systems.
  • Alex, an AI-assisted interface that can help with product information, tier and volume-based pricing checks (via configured tools), discount validation within policy limits, lead capture, and - where enabled - generation of Stripe-hosted payment links.
  • A quote request workflow that transmits your submitted information to TipaTech for follow-up.
  • Payment link APIs and checkout flows that create time-limited Stripe Payment Links subject to validation and rate limits implemented on the B2B Site.

The B2B Site is a commercial platform. Product descriptions, specifications, and performance statements are provided to support business evaluation and are intended to reflect design intent; actual performance may vary based on installation, source water, operating conditions, and maintenance.

4. Product information & pricing

Product information on the B2B Site is intended to help partners evaluate TipaTech products for resale, installation, or property-level deployment.

  • Indicative pricing. Pricing shown on the B2B Site or communicated through Alex (including outputs produced by configured pricing tools) is indicative and may change based on account tier, volume, promotions, inventory, taxes, shipping, duties, and other commercial factors.
  • Negotiation parameters. Where applicable, automated checks may enforce published commercial rules (for example, discount caps and minimum order conditions for certain tiers and SKUs). Those rules are implemented in our systems and may be updated from time to time.
  • Corrections. TipaTech may correct pricing errors, adjust tier assignments, and update commercial programs.
  • No health claims. TipaTech products are water treatment systems engineered and described for treatment purposes. Nothing on the B2B Site is intended to diagnose, treat, cure, or prevent any disease or medical condition.

Unless a separate binding instrument expressly states otherwise, nothing on the B2B Site constitutes an offer that can be accepted without TipaTech’s further confirmation through the applicable commercial process. A quote or chat discussion does not by itself create a binding sale; a completed payment through the applicable Stripe checkout flow (or another expressly confirmed mechanism) is one factor that may evidence a binding transaction, subject to any separate agreement or confirmation TipaTech provides.

5. Quote process & orders

  • You may request a quote through the B2B Site’s quote request experience. That flow typically assigns a reference identifier for your request and transmits the information you submit to TipaTech for evaluation and follow-up.
  • Alex may assist with commercial discussions and may facilitate tools related to pricing and payment links as described in these Terms; a quote reference generated through the dedicated quote workflow is distinct from informal chat outputs.
  • Quote contents reflect information available at the time of submission and are not guaranteed to remain available or unchanged.
  • TipaTech may decline or cancel quotes or orders where required by law, inventory, fraud prevention, policy compliance, or other legitimate business reasons.
  • Fulfillment, shipping, taxes, duties, and delivery timing (where applicable) are subject to separate confirmation and may be governed by additional documents or communications.

Our internal systems may also support business accounts and structured quote records for certain workflows; whether a given interaction is stored in a particular database record depends on the channel and operational configuration.

6. Payment processing

  • Payments for B2B transactions facilitated through the B2B Site are processed by Stripe, Inc. via Stripe-hosted checkout (including Stripe Payment Links generated through our APIs or through Alex where enabled).
  • Payment links expire. Unless a different expiry is expressly configured for a specific link, payment links are issued with a default operational validity window on the order of 72 hours from generation; expired links must be reissued.
  • Request limits. Automated protections (such as per-IP rate limits on payment-link creation) may apply to reduce abuse.
  • By completing payment, you agree to Stripe’s terms and privacy materials, including documents available at stripe.com/legal and stripe.com/privacy.
  • TipaTech does not collect or store full payment card numbers on TipaTech application servers for Stripe-hosted checkout in the manner described in our B2B Privacy Policy.
  • Currency. B2B pricing and payment flows on the B2B Site are presented in United States Dollars (USD) unless expressly stated otherwise in writing for a specific transaction.
  • Refunds and returns. Refund and return eligibility is evaluated case-by-case. Contact sales@tipatech.com. Any restocking fees, return shipping, or non-refundable processing costs will be communicated when applicable. Stripe processing fees may not be refundable depending on Stripe rules and timing.

7. AI sales assistant (Alex)

Alex is an AI-powered assistant intended to help with B2B questions using TipaTech’s configured knowledge sources, pricing engines, and approved tools.

  • Alex may invoke tools such as pricing lookup, discount validation, Stripe payment link creation, and lead capture, subject to system configuration, environment availability, and policy checks.
  • Alex is powered by OpenAI APIs; message content may be transmitted to OpenAI for processing. How we handle related data is described in our B2B Privacy Policy.
  • No binding offers. Alex’s outputs are informational and may be incomplete or outdated. They do not constitute legal, tax, engineering, or professional advice, and do not by themselves create a binding contract.
  • Pricing. Any figures or totals discussed in chat remain subject to Section 4 and TipaTech confirmation.
  • Payment links. Links generated in chat are subject to Section 6.
  • For complex or non-standard arrangements, contact TipaTech sales directly. TipaTech is not liable for decisions made solely on the basis of AI outputs without appropriate human verification.

8. Intellectual property

The B2B Site and its contents - including text, graphics, logos, layouts, product assets, software, and documentation made available through the B2B Site - are owned by TipaTech or its licensors and are protected by applicable intellectual property laws.

  • You may not copy, scrape, reverse engineer, or create derivative works from the B2B Site except as permitted by law or with TipaTech’s prior written consent.
  • Authorized resellers may use product images and descriptions provided by TipaTech for the limited purpose of marketing and selling TipaTech products, subject to brand guidelines TipaTech supplies from time to time.

9. Acceptable use

You agree not to:

  • Use the B2B Site for unlawful, fraudulent, or abusive purposes.
  • Attempt to gain unauthorized access to TipaTech systems, APIs, or data.
  • Interfere with the operation of the B2B Site, including by overloading or circumventing rate limits.
  • Submit false or misleading business information.
  • Use automated means to scrape pricing or other commercial data without permission, or to probe Alex prompts and tool configurations in a way that compromises security.
  • Misrepresent your affiliation with TipaTech to third parties.

TipaTech may suspend or terminate access for violations of these Terms or to protect users and systems.

10. Disclaimer of warranties

THE B2B SITE AND ALL INFORMATION, TOOLS, AND SERVICES PROVIDED THROUGH IT (INCLUDING ALEX) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.

TipaTech disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the B2B Site will be uninterrupted, error-free, or free of harmful components.

Product warranties, if any, are governed solely by applicable written warranty documentation supplied with the purchased products or executed agreements - not by these Terms alone.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIPATECH’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE B2B SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) USD $500, OR (B) THE TOTAL AMOUNT PAID BY YOU TO TIPATECH THROUGH STRIPE-CHECKOUT FLOWS INITIATED FROM THE B2B SITE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

TipaTech will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data - even if advised of the possibility - except where such exclusions are prohibited by applicable law.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).

12. Indemnification

You will indemnify, defend, and hold harmless TipaTech and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of the B2B Site; your violation of these Terms; your violation of applicable law or third-party rights; or disputes between you and your customers related to products purchased through flows initiated from the B2B Site, except to the extent caused by TipaTech’s willful misconduct as finally determined by a court of competent jurisdiction.

13. Governing law & dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws, except where mandatory consumer or business protections apply and cannot be waived.

Subject to applicable law, you and TipaTech agree that exclusive jurisdiction and venue for disputes arising out of or relating to the B2B Site or these Terms shall lie in the state or federal courts located in New Castle County, Delaware.

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes in good faith through direct commercial discussions for a period of 30 days following written notice of the dispute to sales@tipatech.com.

14. Modifications

TipaTech may modify these Terms by posting an updated version on the B2B Site with a revised “Last Updated” date. Material changes may also be highlighted through reasonable on-site notices where practicable.

Your continued use of the B2B Site after the effective date of changes constitutes your acceptance of the updated Terms, except where prohibited by law.

For organizations with existing written agreements, posted Terms updates apply to use of the B2B Site itself and do not automatically amend executed contracts; where a conflict arises, the executed agreement governs the contracted relationship to the extent expressly stated.

For active business partners with an existing written agreement with TipaTech, modified Terms posted here take effect for use of the B2B Site 30 days after the updated “Last Updated” date unless your agreement specifies a different rule or you otherwise agree in writing.

15. Severability & waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Failure to enforce a provision is not a waiver of the right to enforce it later.
